IMPORTANT: These Terms contain a mandatory arbitration provision that requires the use of arbitration on an individual basis to resolve disputes, rather than jury trials or class action lawsuits.
1. General
These Terms and Conditions ("Terms") govern your use of the AI Management Solutions website and services ("Service") operated by AI Management Solutions LLC ("Company," "we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.
2. Description of Service
AI Management Solutions provides AI-powered coaching and management training services through our subscription-based platform. Our Service includes access to AI coaching tools, management training modules, progress tracking, and related features designed to enhance leadership and management capabilities.
3. Eligibility and Registration
You must be at least 16 years old to use our Service. By registering, and by confirming this at signup, you represent and warrant that:
• You are at least 16 years old
• You have the authority to enter into this agreement
• Your registration information is accurate and complete
• You will maintain the confidentiality of your account credentials
We do not offer a pathway for individuals under 16 to use the Service, including with parental or guardian consent. If we become aware that an account holder is under 16, we will suspend the account and delete the associated data as described in our Privacy Policy.
4. AI Features and Disclaimer
4.1 AI-Powered Coaching
Our Service utilises artificial intelligence and large language models (LLMs) from third-party providers to deliver coaching content and recommendations. By using our AI features, you acknowledge and agree that:
AI-Generated Content: All AI-generated advice, recommendations, and coaching content are produced by machine learning algorithms and should not be considered as professional advice from licensed practitioners
No Guarantee of Accuracy: AI outputs are not guaranteed to be accurate, complete, or appropriate for your specific situation
Human Oversight Required: You should independently evaluate all AI-generated content and consult with qualified professionals when making important decisions
Data Processing: Your inputs to AI features are processed by third-party service providers in accordance with their terms of service and privacy policies
4.2 Data Processing Region and AI Model Selection
When you create your account, your data is processed in one of two regions: the European Union or the United States. You can select your region under "Compliance" in your account settings at any time. If you do not make a selection, your data will be processed in the United States by default.
The AI models and third-party LLM providers used to generate coaching content may differ depending on your selected region, in order to support applicable data residency and data protection requirements. A current list of providers used in each region is available in our Cookie Policy and Privacy Policy, and on request at hello (at) (dot) com.
Selecting the EU region reflects our effort to process your data within the European Economic Area and to use providers with corresponding safeguards, as described in our Privacy Policy. If you change your selected region, some coaching history or continuity features may be affected.
4.3 Voice Services
Our Service includes AI-powered voice features. Depending on your selected data processing region (see Section 4.2), voice features may be provided by ElevenLabs (US region) or by an EU-hosted voice provider (EU region), as described in our Cookie Policy. For US-region users, voice sessions establish a direct connection between your browser and ElevenLabs' servers. Voice-generated content is artificial and should not be confused with human speech.
5. Nature of the Relationship
5.1 Educational and Planning Purpose Only
CIOAIM provides AI-powered coaching and educational tools designed to support your planning, learning, and personal development. These services are not intended to replace professional advice or counseling. No professional relationship — such as a doctor-patient, therapist-client, or financial advisor-client relationship — is created between you and CIOAIM or its affiliates.
5.2 No Professional Services Provided
The Platform does not provide psychological counseling, relationship counseling, medical advice, financial planning, career planning, or any other type of therapy or licensed professional services. All coaching content is AI generated and for informational and motivational purposes only.
5.3 No Financial or Investment Advice
The information provided through the Platform is not created or endorsed by licensed financial advisors, brokers, or dealers. Nothing in the Platform should be interpreted as financial advice or as a recommendation for specific investments.
5.4 Responsibility to Seek Professional Help
You agree that it is your sole responsibility to seek guidance from appropriately licensed professionals for any legal, medical, psychological, or financial matters. CIOAIM disclaims all liability for actions or decisions you take based on information provided through the Platform.
6. Subscription and Payment Terms
6.1 Subscription Plans
We offer three plans: Free, Pro, and Ultra. Pro and Ultra are available on monthly or annual billing (annual billing includes two months free compared to paying monthly). Free access includes free credits. Full plan details, credit allocations, and current pricing are available at cioaim.com or api.cioaim.com.
6.2 Free Plan and Upgrading
If you sign up for the Free plan, no payment method is required. You may upgrade to a paid plan at any time from your account settings. Upgrading is an active choice on your part: you will be charged immediately upon upgrading, at the price shown to you before you confirm, and no trial period applies to an upgrade from the Free plan.
6.3 Free Trial for Direct Pro/Ultra Signup
If you sign up directly for a Pro or Ultra plan and provide a payment method at signup, you may receive a free trial. Before you provide your payment details, we will clearly state the plan you are trialing, the price that will be charged, and the exact date your trial ends and your first payment will be taken.
Unless you cancel before your trial ends, your payment method will be automatically charged and your account will convert to a paid subscription on that date.
6.4 Billing and Renewal
Once you are a paying subscriber (whether by trial conversion or active upgrade), monthly subscriptions renew each month on your billing date, and annual subscriptions are for a one-year term that renews each year on your subscription anniversary date. Both renew automatically unless cancelled before the applicable renewal date.
6.5 Cancellation
You may cancel a paid subscription at any time through your account settings. Cancelling means you retain access through the end of your current billing period and will not be charged again.
The Free plan has no recurring charge and nothing to cancel. If you wish to stop using the Free plan, you may simply stop using the Service, or delete your account entirely (which permanently removes your data as described in our Privacy Policy) from your account settings.
6.6 Payment Processing
Payments are processed through Stripe, PayPal, Google Pay, Apple Pay, and Klarna. You agree to provide accurate payment information and authorize us to charge your chosen payment method.
6.7 Lifetime Pro or Ultra Subscription
Lifetime Pro and Lifetime Ultra are one-time purchases with one time AIMS Credit allocation. The Lifetime Pro or Ultra subscription provides access to the core AI coaching platform for the remaining lifetime of the CIOAIM service. It is personal, non-transferable, and cannot be licensed, sold, or assigned to others. It does not guarantee specific features will remain available indefinitely. "Remaining lifetime of the CIOAIM service" refers to the operational lifetime of the Service itself, not your personal lifetime. If we discontinue the Service in its entirety, your Lifetime access will end along with it. Where reasonably practicable, we will provide at least 90 days' advance notice to Lifetime subscribers before such discontinuation.
7. AIMS Credits System
7.1 Credit Allocation
Free Plan: no monthly Credits (a one-time welcome bonus is granted at signup)
Pro Plan: 5,000 Credits per monthly period
Ultra Plan: 12,000 Credits per monthly period
Credit allocations reset at 00:00 Central European Time (UTC+1) on the first day of each month. Unused subscription Credits do not roll over. Team and Lifetime plans do not receive a recurring monthly Credit allocation.
7.2 Credit Usage
Each AI service consumes Credits based on usage and complexity. Voice calls have a maximum length of 10 minutes per session and consume more Credits than text. Additional Credits can be purchased at api.cioaim.com/account/tokens. Purchased Credits do not expire.
8. Acceptable Use
You agree not to:
Use the Service for any illegal purpose
Attempt to reverse engineer or compromise our AI systems
Share account credentials with unauthorised parties
Use the Service to generate harmful, discriminatory, or inappropriate content
Violate any third-party rights or our intellectual property
Attempt to circumvent payment or security measures
Use the Service to develop, train, or improve a competing product or service
9. Third-Party Services
9.1 General Services
Our Service integrates with a number of third-party providers for cloud hosting, content delivery and security, analytics, payment processing, and AI processing. The specific AI providers used may vary depending on your selected data processing region (see Section 4.2). A current list of these providers is maintained in our Cookie Policy and Privacy Policy, and is available on request at hello (at) (dot) com. Your use of the Service is subject to the applicable terms and privacy policies of these providers. Messaging platform providers are addressed separately in Section 9.2.
9.2 AI Coaching via Messaging Platforms
In addition to our website and mobile application, you may access certain AI coaching features through supported third-party messaging platforms, including WhatsApp, Telegram, and Threema (each, a "Messaging Channel").
Your use of a Messaging Channel is subject to these Terms and to the separate terms of service and privacy policy of the relevant platform provider (for example, Meta's WhatsApp terms, Telegram's terms of service, or Threema's terms of use). We do not control, and are not responsible for, those platforms' security, availability, or data handling practices outside of the messages we send and receive through them.
Messages you send through a Messaging Channel are transmitted through that platform's infrastructure before reaching our systems, and the platform provider may independently process metadata such as your phone number and delivery data. Our Privacy Policy describes how we process the content of your coaching interactions once received through a Messaging Channel; it does not govern the platform provider's own processing.
To use a Messaging Channel, you must first create and verify a CIOAIM account through our website or app and connect your Messenger to it. AIMS Credit consumption, session limits, and the restrictions in Section 8 (Acceptable Use) apply equally regardless of which channel you use.
10. User Content and Intellectual Property
We do not use your individual content, prompts, or coaching data to train our own AI models. We contract with third-party AI and voice providers whose own terms govern whether data submitted to their services may be used for their model training; these terms vary by provider and may change. We select providers and configure settings with the aim of excluding your data from third-party training wherever possible, but we cannot guarantee the practices of every third-party provider. A current summary of provider practices is available in our Cookie Policy. Aggregated, statistical usage data may inform our own service improvements.
11. Data and Privacy
Your privacy is important to us. Our Privacy Policy describes how we collect, use, and protect your information and forms part of these Terms. Where we rely on your consent for a particular processing activity (for example, marketing communications or optional AI features), we will obtain that consent separately — using the Service alone does not constitute consent to those activities.
12. Disclaimers and Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy of AI-generated content, uninterrupted operation, and security against unauthorised access. CIOAIM does not guarantee specific results, outcomes, or career advancements from using the Platform.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY TO YOU IS LIMITED TO THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRIOR TO THE CLAIM. WE SHALL NOT BE LIABLE FOR indirect, incidental, or consequential damages, loss of profits, data, or business opportunities, decisions made based on AI-generated content, or third-party service interruptions.
14. Indemnification
You agree to indemnify and hold harmless AI Management Solutions LLC, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your violation of these Terms; (b) your violation of any applicable law; (c) content you submit that infringes the intellectual property or other rights of a third party; or (d) your fraudulent, unlawful, or grossly negligent use of the Service. This indemnification obligation does not extend to claims arising from our own negligence, willful misconduct, or breach of these Terms.
15. Termination
We may terminate your account at any time for violation of these Terms. Upon termination, your access to the Service will cease immediately. You remain liable for all charges incurred. Certain provisions of these Terms will survive termination.
16. Dispute Resolution and Arbitration
16.1 Generally
Except as described below, you and AI Management Solutions agree that every dispute arising in connection with these Terms will be resolved by binding arbitration administered by the American Arbitration Association (AAA). YOU AND AI MANAGEMENT SOLUTIONS ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.
16.2 Opt-Out
You may opt out of the arbitration provision in this Section 16 within 30 days of the date you first create your account (the "Opt-Out Period"). To opt out, send written notice within the Opt-Out Period to AI Management Solutions, 43000 W 9 Mile Rd, Ste 301 PMB 2005, Novi, MI 48375, or by email to hello (at) (dot) com with the subject line "Arbitration Opt-Out." Include your full legal name, account email, and a statement that you wish to opt out of arbitration.
16.3 Governing Law
These Terms are governed by the laws of Michigan, United States. For matters not subject to arbitration, you submit to the exclusive jurisdiction of state and federal courts in Michigan. If you are a consumer resident in the European Union, this choice of governing law does not deprive you of the protection afforded by the mandatory provisions of the law of your country of habitual residence, which continue to apply notwithstanding this clause.
16.4 Consumers in the EU, UK, and Other Protected Jurisdictions
If you are a consumer resident in the European Union, United Kingdom, or another jurisdiction where mandatory consumer-protection law grants you the right to bring claims in your local courts or limits the enforceability of arbitration or forum-selection clauses, nothing in this Section 16 is intended to override those mandatory rights, and this Section 16 applies to you only to the extent permitted by the law of your jurisdiction of residence.
17. Modifications
We may modify these Terms at any time. Material changes will be posted with at least 30 days' notice. Continued use of the Service after changes constitutes acceptance of the modified Terms, except where applicable law requires a different process.
18. Beta Services
We may offer beta or experimental features for evaluation purposes. Beta Services are provided "AS-IS" without warranty. We may discontinue them at any time and have no liability for any matter regarding Beta Services.
19. Mobile Applications
Subject to these Terms, we grant you a non-transferable, non-exclusive licence to download and use our mobile applications on devices you own or control. If downloaded from the Apple App Store or Google Play Store, additional platform-specific terms apply.
20. Promotional Codes
Promotional codes have no cash value and cannot be redeemed for cash. Each code may only be redeemed once per account. Promotional codes granting free trial access follow the terms of Section 6.3: valid payment information is required, and unless you cancel before the trial ends, you will automatically become a paying subscriber.
21. Copyright and DMCA
If you believe content on our Service infringes your copyright, notify our designated agent at hello (at) (dot) com with a description of the copyrighted work, the infringing material's location, your contact information, and a statement of good faith belief.
22. Force Majeure
We are not liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, labour disputes, or government actions.

24. Severability
