These Terms and Conditions ("Terms") govern your use of the AI Management Solutions website and services ("Service") operated by AI Management Solutions LLC ("Company," "we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

2. Description of Service

AI Management Solutions provides AI-powered coaching and management training services through our subscription-based platform. Our Service includes access to AI coaching tools, management training modules, progress tracking, and related features designed to enhance leadership and management capabilities.

3. Eligibility and Registration

You must be at least 16 years old to use our Service. By registering, you represent and warrant that:

• You are at least 16 years old

• You have the authority to enter into this agreement

• Your registration information is accurate and complete

• You will maintain the confidentiality of your account credentials

If you are under the age of majority in your jurisdiction, you may only use the Service if your parent or guardian agrees to these Terms and is responsible for your activities on the Service.

4. AI Features and Disclaimer

4.1 AI-Powered Coaching

Our Service utilises artificial intelligence and large language models (LLMs) from third-party providers to deliver coaching content and recommendations. By using our AI features, you acknowledge and agree that:

• AI-Generated Content: All AI-generated advice, recommendations, and coaching content are produced by machine learning algorithms and should not be considered as professional advice from licensed practitioners

• No Guarantee of Accuracy: AI outputs are not guaranteed to be accurate, complete, or appropriate for your specific situation

• Human Oversight Required: You should independently evaluate all AI-generated content and consult with qualified professionals when making important decisions

• Data Processing: Your inputs to AI features may be processed by a third-party service provider in accordance with their terms of service and privacy policies

4.3 Voice Services

Our Service may include AI-powered voice features provided by ElevenLabs and other voice synthesis providers. Voice-generated content is artificial and should not be confused with human speech.

5. Nature of the Relationship

5.1 Educational and Planning Purpose Only

CIOAIM provides AI-powered coaching and educational tools designed to support your planning, learning, and personal development. These services are not intended to replace professional advice or counseling. No professional relationship — such as a doctor-patient, therapist-client, or financial advisor-client relationship — is created between you and CIOAIM or its affiliates.

5.2 No Professional Services Provided

The Platform does not provide psychological counseling, relationship counseling, medical advice, financial planning, career planning, or any other type of therapy or licensed professional services. All coaching content is AI generated and for informational and motivational purposes only.

5.3 No Financial or Investment Advice

The information provided through the Platform is not created or endorsed by licensed financial advisors, brokers, or dealers. Nothing in the Platform should be interpreted as financial advice or as a recommendation for specific investments.

5.4 Responsibility to Seek Professional Help

You agree that it is your sole responsibility to seek guidance from appropriately licensed professionals for any legal, medical, psychological, or financial matters. CIOAIM disclaims all liability for actions or decisions you take based on information provided through the Platform.

6. Subscription and Payment Terms

6.1 Subscription Plans

We offer multiple subscription plans including Pro, Ultra, Team, and Lifetime Pro. Full plan details and current pricing are available at cioaim.com.

6.2 Billing and Renewal

All subscriptions are for a one-year term and automatically renew each year on your subscription anniversary date unless cancelled at least 24 hours before renewal. You may pay the annual fee in full or in twelve monthly installments.

6.3 Cancellation

You may cancel your subscription through your account settings or by emailing hello@cioaim.com. You retain access through the end of your current subscription period.

6.4 14-Day Money-Back Guarantee

We offer a 14-day money-back guarantee for new subscribers. Refund requests must be submitted within 14 days of your initial subscription. Refunds are processed within 10 business days. This guarantee applies only to first-time subscribers and initial payments.

6.5 Payment Processing

Payments are processed through Stripe, PayPal, Google Pay, Apple Pay, and Klarna. You agree to provide accurate payment information and authorize us to charge your chosen payment method.

6.6 Lifetime Pro Subscription

The Lifetime Pro subscription provides access to the core AI coaching platform for the remaining lifetime of the CIOAIM service. It is personal, non-transferable, and cannot be licensed, sold, or assigned to others. It does not guarantee specific features will remain available indefinitely.

7. AIMS Credits System

7.1 Credit Allocation

• Free Plan: no monthly Credits (a one-time welcome bonus is granted at signup)

• Pro Plan: 5,000 Credits per monthly period

• Ultra Plan: 12,000 Credits per monthly period

Credit allocations reset at 00:00 Central European Time (UTC+1) on the first day of each month. Unused subscription Credits do not roll over. Team and Lifetime plans do not receive a recurring monthly Credit allocation.

7.2 Credit Usage

Each AI coaching call and text interaction consumes Credits based on usage and complexity. Voice calls have a maximum length of 10 minutes per session and consume more Credits than text. Additional Credits can be purchased at api.cioaim.com/account/tokens. Purchased Credits do not expire.

8. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose

• Attempt to reverse engineer or compromise our AI systems

• Share account credentials with unauthorised parties

• Use the Service to generate harmful, discriminatory, or inappropriate content

• Violate any third-party rights or our intellectual property

• Attempt to circumvent payment or security measures

9. Third-Party Services

Our Service integrates with cloud hosting (Vercel), content delivery and security (Cloudflare), analytics (Google Analytics), payment processors (Stripe, PayPal, Google Pay, Apple Pay, Klarna), and various AI and service providers. Your use of these integrated services is subject to their respective terms and privacy policies.

10. User Content and Intellectual Property

You retain ownership of all content, data, and materials you submit to our Service. By submitting content, you grant AI Management Solutions a limited, non-exclusive, royalty-free licence to store, process, and use your content solely to provide and improve our services. You may opt out of anonymized AI training by emailing support@cioaim.com with the subject line: Opt-out of anonymized AI Training and Improvement.

11. Data and Privacy

Your privacy is important to us. Our Privacy Policy describes how we collect, use, and protect your information. By using our Service, you consent to our data practices as described in our Privacy Policy.

12. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy of AI-generated content, uninterrupted operation, and security against unauthorised access. CIOAIM does not guarantee specific results, outcomes, or career advancements from using the Platform.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY TO YOU IS LIMITED TO THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRIOR TO THE CLAIM. WE SHALL NOT BE LIABLE FOR indirect, incidental, or consequential damages, loss of profits, data, or business opportunities, decisions made based on AI-generated content, or third-party service interruptions.

14. Indemnification

You agree to indemnify and hold harmless AI Management Solutions LLC, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Platform, your violation of these Terms, or any content you submit.

15. Termination

We may terminate your account at any time for violation of these Terms. Upon termination, your access to the Service will cease immediately. You remain liable for all charges incurred. Certain provisions of these Terms will survive termination.

16. Dispute Resolution and Arbitration

16.1 Generally

Except as described below, you and AI Management Solutions agree that every dispute arising in connection with these Terms will be resolved by binding arbitration administered by the American Arbitration Association (AAA). YOU AND AI MANAGEMENT SOLUTIONS ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.

16.3 Opt-Out

You may opt out of arbitration within 30 days of agreeing to these Terms by sending written notice to: AI Management Solutions, 43000 W 9 Mile Rd, Ste 301 PMB 2005, Novi, MI 48375. Include your full legal name, account email, and a statement that you wish to opt out.

16.9 Governing Law

These Terms are governed by the laws of Michigan, United States. For matters not subject to arbitration, you submit to the exclusive jurisdiction of state and federal courts in Michigan.

17. Modifications

We may modify these Terms at any time. Material changes will be posted with at least 30 days' notice. Continued use of the Service after changes constitutes acceptance of the modified Terms.

18. Beta Services

We may offer beta or experimental features for evaluation purposes. Beta Services are provided "AS-IS" without warranty. We may discontinue them at any time and have no liability for any matter regarding Beta Services.

19. Mobile Applications

Subject to these Terms, we grant you a non-transferable, non-exclusive licence to download and use our mobile applications on devices you own or control. If downloaded from the Apple App Store or Google Play Store, additional platform-specific terms apply.

20. Promotional Codes

Promotional codes have no cash value and cannot be redeemed for cash. Each code may only be redeemed once per account. If you redeem a free trial code, you must provide valid payment information. Unless you cancel at least 24 hours before the trial ends, you will automatically become a paying subscriber.

21. Copyright and DMCA

If you believe content on our Service infringes your copyright, notify our designated agent at hello@cioaim.com with a description of the copyrighted work, the infringing material's location, your contact information, and a statement of good faith belief.

22. Force Majeure

We are not liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, labour disputes, or government actions.
